SIMCO SKINCARE – Wholesale Terms & Conditions (AU)

1. Eligibility

• Trade access is for Australian businesses with a valid ABN.

• SIMCO may approve/deny accounts at our discretion.

2. Pricing & Tiers

• Wholesale: 40% off RRP, minimum 20 items per order (mix & match).

• WholesaleVIP: 50% off RRP, minimum 40 items per order (mix & match).

• Prices and tiers may change with notice.

3. RRP & Promotions (Important – AU compliance)

• SIMCO provides a Recommended Retail Price (RRP) list for guidance only.

• Resellers set their own retail prices at their sole discretion.

• Please keep price promotions aligned with our brand positioning and give us 48 hrs notice for promos so we can support with assets.

• Do not misrepresent RRP or use misleading “compare at” pricing.

• Nothing in these T&Cs requires you to adhere to a minimum resale price, and SIMCO will not withhold supply for pricing decisions.

4. Sales Channels & Brand Use

• A) If you buy SIMCO-labelled products

  • You can use your own photos of the SIMCO-labelled products.

  • Use SIMCO product names and our official descriptions.

  • No medical or therapeutic claims.

  • Minor edits to photos are fine, but do not misrepresent colour, size, or finish.

  • Online marketplaces or exports require approval. Ask us first, and we will help with assets.

  B) If you buy naked or white label products

  • You can use your own branding, labels, and images.

  • Do not use SIMCO names, logos, or our product images. Do not imply SIMCO endorsement.

  • You are responsible for legal compliance on packaging and marketing, including correct ingredients, country of origin, and any batch or best before if supplied. No medical or therapeutic claims.

  • If you want to reference SIMCO as the manufacturer or origin, get written consent first.

5. Labelling & Packaging

• Choose SIMCO-labelled or naked bars (stated in cart note).

• White-label available by quotation and higher MOQs.

• You must display legally required info when reselling (ingredient list/INCI where applicable, batch/expiry if provided, country of origin).

6. Order Processing & Lead Times

• Standard dispatch: 7–10 business days from payment/approval; large or custom runs may require additional time.

• Backorders: we’ll confirm an ETA or offer a substitute/cancellation.

7. Payment Terms

• Payment at checkout unless net terms have been pre-approved in writing.

• Title to goods passes on full payment. Risk passes on delivery/collection.

8. Shipping, Delivery & Loss

• Freight is charged at cost (or per current shipping offer).

• Inspect deliveries on arrival. Any shortages or damage must be reported within 3 business days with photos.

9. Returns & Cancellations

• Due to the nature of cosmetic/handmade goods, change-of-mind returns aren’t accepted.

• Faults or packing errors will be replaced or credited at SIMCO’s option.

• Order cancellations after production has begun may incur costs.

10. Product Care & Representation

• Store products cool, dry, out of direct sun.

• Use our official descriptions; do not add unapproved claims (e.g., therapeutic/medicinal).

• Follow any AICIS/cosmetic labelling rules relevant to your sales channel.

11. Intellectual Property

• All SIMCO names, logos, product images, copy, and formulations remain SIMCO’s IP.

• You receive a non-exclusive license to use approved assets for the purpose of reselling SIMCO products.

12. Warranty & Liability

• To the extent permitted by law, liability is limited to replacement of goods or refund of the purchase price.

13. Termination

• SIMCO may suspend or terminate wholesale access for breach of these terms (e.g., misuse of brand assets, false claims, grey-market reselling).

14. General

• These terms are governed by the laws of Western Australia.

• SIMCO may update these terms with notice; continued ordering constitutes acceptance.
