B2B Wholesale Terms & Conditions
SIMCO SKINCARE | B2B Wholesale Terms & Conditions
Effective date: 27 July 2026
ABN: 28 203 183 795
Email: contact@simcoskincare.com.au
These Wholesale Terms & Conditions apply to approved Australian B2B customers purchasing products from SIMCO SKINCARE. By applying for a wholesale account or placing a wholesale order, you agree to these terms.
1. Eligibility and account approval
Wholesale access is available to Australian businesses holding a valid ABN.
Submitting an application does not guarantee approval. SIMCO may approve, decline, suspend or review an account based on the information supplied, the intended sales channel and compliance with these terms.
Wholesale ordering access is limited to approved contacts attached to the business account and must not be shared with another business.
Applicants must provide complete and accurate information and notify SIMCO if their business, contact, billing or delivery details change.
Our online B2B checkout currently services Australian company locations only. International wholesale enquiries must be submitted directly to SIMCO for separate approval and freight arrangements.
2. Wholesale products, pricing and quantities
Only products included in the approved SIMCO B2B catalogue are available at wholesale pricing.
Unless a product displays different pricing or quantity rules, the standard structure is:
- 10 to 24 units of the same product or variant: 40% off the current RRP
- 25 or more units of the same product or variant: 50% off the current RRP
- Minimum quantity: 10 units of each selected product or variant
- Quantities may be increased in increments of one after the minimum has been reached.
Quantities from different products, scents or variants cannot be combined to meet an individual product minimum or volume-price break.
For example, 10 units of one soap and 15 units of another do not qualify either product for the 25-unit price.
The price displayed in the approved B2B catalogue at checkout applies to the order. Prices are in Australian dollars. GST treatment will be shown at checkout and on the applicable tax invoice.
Retail discount codes, free gifts, loyalty rewards, retail free-shipping offers and other consumer promotions do not apply to wholesale orders unless specifically stated.
SIMCO may update wholesale prices, RRPs, products and quantity requirements for future orders. Changes will not alter an order that SIMCO has already accepted.
3. Recommended retail prices and promotions
SIMCO may provide Recommended Retail Prices for guidance. Resellers remain free to set their own retail and promotional prices.
Nothing in these terms requires a reseller to sell at, above or below a particular price, and SIMCO will not withhold supply because a reseller chooses a different lawful resale price.
We welcome advance notice of significant promotions so we can assist with available product information or brand assets, but advance notice is not a condition of supply.
Resellers must not use false or misleading RRPs, savings claims, crossed-out prices or compare-at pricing.
4. Sales channels and brand presentation
For products supplied with SIMCO labels, approved resellers may:
- Photograph the products for their own website, social media and promotional material.
- Use SIMCO’s official product names, ingredient information and approved descriptions.
- Make minor edits to supplied images, provided the product’s colour, size, ingredients, packaging and appearance are not misrepresented.
Resellers must not:
- Make medical, therapeutic or medicinal claims that have not been approved and lawfully authorised.
- Alter SIMCO labels or packaging in a misleading manner.
- Claim to manufacture SIMCO-branded products.
- Imply sponsorship, endorsement, exclusivity or partnership beyond the approved wholesale relationship.
Sales through third-party marketplaces or outside Australia require SIMCO’s prior written approval.
5. SIMCO-labelled and unlabelled bars
Eligible handmade soaps may be ordered:
- With SIMCO labels; or
- As unlabelled bars without retail branding.
SIMCO does not currently offer custom-label or white-label services through the standard wholesale program.
Unlabelled products are supplied without custom branding. The reseller is responsible for ensuring all legally required product, ingredient, business and consumer information is available before the products are offered for retail sale.
SIMCO can provide available product names, ingredients and other relevant product information to assist approved resellers. Resellers must not use the SIMCO name, logo or branded product imagery on unlabelled products without written permission.
6. Orders, availability and processing
All wholesale orders are subject to acceptance, stock availability and the applicable B2B catalogue rules.
Wholesale orders containing available stock are generally dispatched within 7 to 10 business days after cleared payment and any required order confirmation.
Larger orders, backordered products or handmade soaps requiring a fresh production batch may take longer. If additional soaps need to be made, dispatch may take approximately 4 to 6 weeks to allow for production and proper curing. Where the expected timeframe is longer than our standard dispatch period, SIMCO will contact the customer with an estimated dispatch date before proceeding.
If a product is unavailable, SIMCO will provide an estimated timeframe and any available options. Products will not be substituted without the customer’s approval.
Products are handmade or produced in batches. Reasonable variations in colour, scent, texture, finish and appearance may occur between batches and are not necessarily considered defects.
7. Payment
Payment is required at checkout unless alternative payment terms have been expressly approved by SIMCO in writing.
Available payment methods may include card payment, PayPal, eligible third-party payment methods and bank deposit.
Bank-deposit orders will not be processed or dispatched until cleared funds have been received and matched to the order.
Any approved credit or net-payment terms apply only to the company location and orders specifically authorised by SIMCO.
Ownership of the goods remains with SIMCO until the order has been paid in full.
8. Wholesale shipping and delivery
Wholesale orders do not qualify for SIMCO’s retail free-shipping offers.
Current Australian wholesale flat-rate shipping is:
- Wholesale Standard Shipping: $25
- Wholesale Express Shipping: $45
SIMCO may use Australia Post, Interparcel or another suitable courier or delivery provider. Selection of a shipping service does not guarantee that a particular carrier will be used.
Delivery timeframes shown at checkout are estimates and may be affected by carrier delays, public holidays, remote locations, weather or events outside SIMCO’s reasonable control.
Risk in the goods passes to the customer when the order is delivered to the nominated address or collected by the customer or their authorised representative.
9. Delivery inspection, shortages and damage
Customers should inspect wholesale deliveries promptly after arrival.
Please report visible damage, missing products, incorrect products or quantity discrepancies within three business days, where reasonably possible. Include the order number, photographs of the parcel and products, and details of the issue.
Prompt notification helps SIMCO investigate the matter with the carrier. Failure to notify within three business days does not remove any rights or remedies that cannot lawfully be excluded.
10. Cancellations, returns and order changes
Wholesale change-of-mind returns are not accepted unless SIMCO agrees otherwise in writing.
Cancellation or amendment requests must be submitted as soon as possible. SIMCO may be unable to cancel or amend an order once picking, packing, production or dispatch has commenced.
If SIMCO agrees to cancel an order after non-recoverable work or costs have been incurred, those reasonable costs may be deducted from the refund. The customer will be informed before the cancellation is finalised.
Faulty, damaged, unsafe, incorrect or misdescribed products will be handled in accordance with applicable Australian law.
11. Product storage and representation
Resellers must store products in suitable conditions, including away from excessive heat, moisture and direct sunlight.
Resellers are responsible for following any storage, use-by, batch, display or product-care instructions supplied by SIMCO.
Product descriptions and marketing must remain accurate. Resellers must not add unapproved medical, therapeutic, disease-treatment or performance claims.
12. Intellectual property
SIMCO’s business name, trade marks, logos, packaging designs, product photography, written copy, formulations and other brand assets remain the property of SIMCO or their respective owners.
Approved resellers receive a limited, non-exclusive and revocable permission to use approved SIMCO assets solely for promoting and reselling genuine SIMCO-labelled products.
Assets must not be transferred to another business, used for unrelated products or modified in a way that damages or misrepresents the SIMCO brand.
13. Account suspension or termination
SIMCO may suspend or terminate wholesale access where there is:
- Non-payment or payment fraud.
- Repeated breach of quantity, ordering or account requirements.
- Misuse of SIMCO branding or intellectual property.
- False, misleading, medical or therapeutic product claims.
- Unauthorised marketplace selling or export.
- Resale of counterfeit, altered or substituted products.
- Conduct that creates a product-safety, legal or reputational risk.
Where reasonable, SIMCO will contact the customer and provide an opportunity to address the issue before access is terminated. Immediate suspension may occur for serious breaches, safety concerns, fraud or unlawful conduct.
Termination of wholesale access does not affect payment obligations or rights relating to orders already accepted.
14. Australian Consumer Law
Nothing in these terms excludes, restricts or modifies any guarantee, right, remedy or liability that cannot lawfully be excluded under the Australian Consumer Law or another applicable law.
Where a product does not comply with a non-excludable legal guarantee, SIMCO will provide the remedy required by law.
15. General
These terms are governed by the laws of Western Australia, and the parties submit to the courts and tribunals with jurisdiction in Western Australia.
If any provision is found to be unlawful or unenforceable, the remaining provisions will continue to apply.
SIMCO may update these terms for future wholesale orders. Material changes will be published or communicated before they apply to a customer’s next order.
These Wholesale Terms & Conditions operate alongside SIMCO’s applicable Privacy Policy, Shipping Policy and other published policies. Where there is a direct conflict concerning a wholesale order, these Wholesale Terms & Conditions apply to the extent permitted by law.
Wholesale Pricing & Minimums
Approved B2B customers receive 40% off RRP when ordering 10–24 units of the same product or variant. Orders of 25 or more units of the same product or variant receive 50% off RRP. Minimum quantities cannot be combined across different products or scents.
Labels
Choose between SIMCO-labelled bars or unlabelled bars when completing your wholesale application.
SIMCO-labelled bars arrive ready to resell under the SIMCO Skincare brand.
Unlabelled bars are supplied without SIMCO branding and may suit hotels, Airbnbs, guest amenities, gift boxes or businesses wanting a simpler presentation. We do not currently offer custom-label or white-label services.
An ingredient list for each product variant ordered will be provided with your order, either as a printed document or by email. Businesses reselling unlabelled bars remain responsible for making the required ingredient and product information available to customers at the point of sale.
Lead time & Shipping
- Standard dispatch: 7 to 10 business days
- Large or custom runs may require extra time
- Shipping calculated at checkout
Payment & Ordering
Payment is required at checkout unless alternative terms have been approved in writing. Available options may include card, PayPal, eligible buy-now-pay-later services and bank deposit. Wholesale orders do not qualify for retail discounts, loyalty rewards or free-shipping offers.
